Terms of Service Agreement

This terms of service agreement (“Agreement”) is between Co-Operate At Sunset, LLC (“we”, “us”, “our”, “ourselves”, or “Company”) and the Client or Entity (“you” or “your”) that has decided to use our services; any of our websites or apps; or any features, products, graphics, text, images, photos, audio, video, location data, computer code, and all other forms of data and communications (collectively, “Services”). 

BY USING THE SERVICES IN ANY WAY, YOU AGREE TO BE BOUND BY THIS AGREEMENT.  If you do not accept and agree to be bounded by all of the terms of this Agreement, including the Privacy Policy, posted at www.cooperate.studio and incorporated by reference herein, do not use the Services.

Your Use of the Services

Your Representations and Eligibility to Use Services

By registering and using the Services, you represent and warrant: (i) you have the authority and capacity to enter this Agreement; (ii) you are at least 18 years old; and (iii) you are not precluded or restricted in any way from using the Services, either by law or due to previous suspension from the Services.

Truthfulness of Information

You represent and warrant that all information you submit when using the Services is complete, accurate, and truthful. You are responsible for maintaining the completeness, accuracy, and truthfulness of such information.

Date Changes and Cancellation Policy

Date Changes:  In the unlikely event you are required to change the date of the event, every effort will be made by Co-Operate At Sunset, LLC to transfer reservations to support the new date. The Client agrees that in the event of a date change, any expenses including but not limited to deposits and fees that are non-refundable and non-transferable are the sole responsibility of the Client. The Client further understands that last minute changes can impact the quality of the event and that Co-Operate At Sunset, LLC is not responsible for these compromises in quality.

Cancellation: Client may cancel their Booking until 10 days before the event start time and will receive a full refund of their Booking Price.

Client may cancel their Booking between 10 days and 24 hours before the event start time and receive a 50% refund of their Booking Price.

Booking cancellations submitted less than 24 hours before the Event start time are not refundable.

CONDITIONS of USE

Client’s activities during the Rental Period must be compatible with use of the building and activities in areas adjacent to the Rental Space and building.  This includes but is not limited to playing loud music or making any noise at a level that is not reasonable under the circumstances.  Smoking is not permitted anywhere in the building.  The Rental Space must be cleaned and returned in a condition at the end of an event to a reasonable appearance as it was prior to the rental.

CATERING STANDARDS

All caterers servicing at Co-Operate At Sunset, LLC are required to have a valid certificate of insurance on file with us.

Kitchenette Policy— The Co-Operate At Sunset, LLC kitchenette is production space and is to be used for final food presentation, plating, and bussing only. Please note Co-Operate At Sunset, LLC does not provide dishes, glassware, pots, pans, knives, or utensils. The kitchen production space will be provided in a clean condition and the space should be returned to a clean condition immediately following your event.  A final walk-through is mandatory at the close of your event.  Caterers must remove all trash, composting and recyclables from the site.  All trash, including sorted recyclables and properly sorted compostable, must be collected, properly bagged, and removed by the caterer. 

SITE DECORATION

Co-Operate At Sunset, LLC wants to make every event here a special and welcome experience. Therefore, every effort will be made to allow Client to prepare decorations reflecting their creative requirements. No nails, screws, staples or penetrating items are to be used on our walls or floors. Glitter, foil and/or paper confetti is not allowed on site. Only low tack tape is allowed on our floors and walls. Any damage will be charged after your event.

CITY, COUNTY, STATE, AND FEDERAL LAWS

Client agrees to comply with all applicable City, County, State, and Federal laws and shall conduct no illegal act on the premises. This is a drug free and non-smoking facility at all times, and there are no exceptions. Client shall not sell alcohol on premises at any time. Client may not serve alcohol to minors on the premises at any time. Client agrees, for everyone’s safety, to ensure alcoholic beverages are consumed in a responsible manner. Co-Operate At Sunset, LLC reserves the right, in its exclusive discretion, to expel anyone who, in its judgment, is intoxicated or under the influence of alcohol or drugs, or who shall, in any manner, do or participate in any act jeopardizing the rights, use permit, or insurability Cooperate At Black Fire LLC or the safety of its staff, guests, or building contents.

CLEAN-UP

Client shall be responsible for returning the Rental Space (and site if applicable) to the condition in which it was provided to them.  If the Rental Space is not returned to the condition in which it was provided to them there will be an additional $100 cleaning fee charged to the credit card.  It is the Client’s responsibility to place all trash in proper receptacles and return Rental Space to the condition in which it was provided.  The Client is responsible for any and all damages to Co-Operate At Sunset, LLC Rental Space and surround site.  All property belonging to Client, Client’s invitees, guests, agents and sub-contractors, shall be removed by the end of the rental period.  All property remaining on the premises beyond the end of the rental agreement will be removed by Co-Operate At Sunset, LLC at Co-Operate At Sunset, LLC cost.  Should the Client need special consideration for the removal of property beyond the rental period, this can be arranged prior to the beginning of the event for an additional fee. Co-Operate At Sunset, LLC is not responsible for any property left behind by Client, Client’s guests, invitees, agents and sub-contractors. 

Additional Fees

Client agrees to leave the Rental Space no later than the end-time of the Event or at such other time as mutually agreed upon between you and Co-Operate At Sunset, LLC’s Community Manager. If you stay past the agreed upon end-time without the Community Manager’s permission, you no longer have a commitment to use or stay in the Rental Space and the Community Manager is entitled to use lawful means to force you to leave the Rental Space.  Additionally, you agree to pay to Co-Operate At Sunset, LLC an overtime charge (“Overtime Charge”) as well as all applicable Guest Fees, Taxes, and other expenses.  Overtime Charges are calculated based on the hourly rate for the Rental Space, at one or one-and-one-half times the scheduled rate determined by Co-Operate At Sunset, LLC, and will be billed in 30-minute increments.

Over Capacity Fees. For over-intensive use of a Rental Space (e.g., materially exceeding the agreed number of attendees), in our sole discretion we may impose an additional use charge.

Damages and other Costs. While we try to avoid these situations, occasionally the terms or expectations of a Booking are not met and additional costs may be owed by a Client. This may include damage to or misuse of a Rental Space (or the personal property therein), inappropriate use of Terms of Services Agreement, excess garbage left at Rental Space that would require use of a hauling service, insufficient funds or unauthorized use of a payment account, or other claims. Where any additional fees, fines or other charges are owed by you, you agree that we may, via our 3rd party payment partner, immediately charge any payment method linked to your Account.

LIABILITY

Client agrees to indemnify, defend, and hold Co-Operate At Sunset, LLC, owners, officers, employees, and agents harmless of and from any liabilities, costs, penalties, or expenses arising out of and/or resulting from the rental and use of the premises, including but not limited to, the personal guarantee of provision, service, and dispensing of payment by client, its employees, and agents of Co-Operate At Sunset, LLC. In the event Co-Operate At Sunset, LLC, its owners, officers, employees and/or agents, are required to file any action in court in order to enforce any provisions of this agreement, client agrees to pay Co-Operate At Sunset, LLC, its officers, owners, employees and/or agents, all reasonable attorney fees, court fees, and costs of suit incurred by Co-Operate At Susnet, LLC, including all collection expenses and interest due.
